Terms of Service

PageantVision.TV is a platform where subscribers (“Subscribers”) can access pageant content and news. PageantVision.TV’s terms of use apply to all users of the PageantVision.TV websites and mobile applications. “We,” “our,” “us,” “PageantVision.TV,” or “PageantVision” refers to Gold Street Digital, LLC DBA PageantVision.TV. “PageantVision,” “PageantVision.TV,” “the website,” or “the service” refers to the website, mobile applications, products, videos, written content and any other services offered by us. “Content” includes the text, user comments, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features and other materials you may view on, access through, or contribute to the service.

By accessing, using, visiting, or browsing the service, you accept and agree to be bound by these terms of use. You acknowledge that you have read and understood these terms of use. You also agree to any other policies we post on the website. Although we may attempt to notify you when major changes are made to these terms of use, you should periodically review the most up-to-date version online. PageantVision may, in its sole discretion, modify or revise these terms of use at any time, and you agree to be bound by such modifications or revisions by continuing to use the service. If you do not agree to these terms of use, you must not access the service.

How it Works

Subscribers pay money to PageantVision for creating and exhibiting content on the service. Depending on your preference, we either charge you a set amount per month or per year (plus applicable taxes). In order to protect the service, we may block Subscribers’ payments if we believe them to be fraudulent.

If you subscribe to PageantVision.TV on a monthly or yearly basis, then you are charged immediately at the time of subscription creation for the monthly or yearly amount of the subscription, and are then charged monthly or yearly thereafter. You may cancel monthly or yearly subscription at any time, but you must cancel your subscription before it renews each month or year to avoid being billed for the following month/year's subscription fees. All subscription sales are final, and failure to cancel before a billing date will result in the full subscription charge processing. We will not issue any refunds for failure to cancel your subscription by the auto-billing date. You understand that canceling your subscription may result in immediate revocation of services without refund.

By subscribing, you understand that we make no guarantees as to the quantity or quality of content available as part of the subscription service. Some content may not - either indefinitely or immediately - be available as part of the subscription package, but instead may be available as an additional purchase. PageantVision will provide no refunds in relation to availability of content on the service. All sales are final and non-refundable.

If you choose to file a chargeback with your financial institution for any services provided by PageantVision, your account will be placed in negative standing and all future purchases of any type will be blocked. We will provide any and all information necessary (including, but not limited to usage and billing history) to your financial institution in defense of your claim. We also may choose to recover any and all fees incurred as a result of your chargeback through alternative means, including but not limited to small claims court.

By using the service, you acknowledge and agree to receive, without further notice or prompting, updated versions of the service and related third-party software. We reserve the right to adjust subscription fees in any manner and at any time as we may determine in our sole and absolute discretion. Any price changes to subscription fees will take effect following email notice to you, unless and except otherwise expressly provided for in these terms of use. All payments in relation to the service are non-refundable and there are no refunds or credits for partially used periods. We may, however, grant refunds at our sole discretion in exceptional circumstances.

We are constantly testing out new features with the goal of making PageantVision.TV better. We may add or remove features, and often test features with a random subset of our users. If we believe a feature is significantly different from these terms, then we explain those differences in the test.

Content Usage and Licensing

Grant of License: The streaming service ("Service") hereby grants you, the subscriber, a non-exclusive, non-transferable, limited license to access and view the content ("Content") provided by the Service solely for your personal and non-commercial use. This license is conditional upon your compliance with the terms and conditions set forth in this agreement.

Restrictions on Use: You agree not to use the Content for any purpose other than personal viewing. Specifically, you are prohibited from:

• Rebroadcasting: You may not rebroadcast, transmit, or perform the Content publicly, whether for commercial or non-commercial purposes.
• Recording or Capturing: You are not permitted to record, download, capture, or store the Content in any form or by any means.
• Sharing or Redistribution: You may not share, distribute, or otherwise make the Content available to others, whether through physical media, file sharing, streaming, or any other means.
• Commercial Use: The Content may not be used for any commercial purpose, including but not limited to charging others for access to the Content or incorporating the Content into an advertisement or a product for sale.
• Intellectual Property: All rights, title, and interest in and to the Content are and will remain the exclusive property of the Service and its licensors. The Content is protected by copyright, trademark, and other intellectual property laws and treaties. Your use of the Content does not grant you any rights to the intellectual property of the Service or its licensors, except for the limited license granted above.

Termination of License: The Service reserves the right to terminate your license to use the Content at any time and for any reason, including but not limited to a breach of these terms. Upon termination, you must cease all use of the Content and delete or destroy any copies of the Content in your possession.

Account

You must be at least 13 years old to register for an account, and if you are under the age of 18 you must have parental permission to register for any paid subscriptions. When you register for an account you must provide us with true, accurate and complete information, and you agree to keep that information true, accurate and complete, failing which we will have the right to suspend or terminate your account.

We can terminate or suspend your account at any time at our discretion. We can also cancel any subscriptions and remove any content at our discretion.

These terms remain in effect after your account is disabled.

You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account. If you believe your account has been compromised, contact us immediately. We may revoke access to the service if we believe you are participating in password or account sharing.

PageantVision.TV cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

Communication Preferences

By using the service, you consent to receiving electronic communications from PageantVision.TV relating to your account. Such communications shall include, without limitation, sending emails to your personal email address, posting communications on the website or in your account page on the website to communicate the following, without limitation: payment authorizations, payment method, changes of password, confirmation e-mails, and other transactional information, newsletters, special offers, promotional announcements and customer surveys. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal notice requirements, in writing or otherwise.

Conduct and Content Guidelines

Subscribers are responsible for all activity on their accounts and for the Content that they post. If you don’t follow the guidelines, we may terminate your account.

• Do not engage in illegal activities or use the service in an illegal manner, or encourage others to do so.
• Do not harass, threaten or bully others, or promote violence or hatred towards others, including but not limited to attacks on others based on race, ethnicity, nationality, religion, sex, gender, sexual identity, age, disability or serious medical condition. Creators and Content that violate this guideline are not allowed to collect pledges on the service, and may be banned permanently.
• Do not distribute the personal information of others.
• Do not post false or misleading information, or collect money for things that you are not actually doing, or that are not yours.
• Do not impersonate others, use others’ accounts, or let anyone use your account.
• Do not create an account to prevent others from using the name.
• Do not infringe on anyone else’s intellectual property rights. You agree that Content you submit to the service will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material. We will remove all Content if properly notified that such Content infringes on another's intellectual property rights. We reserve the right to remove Content without prior notice.
• Do not spam others or distribute unsolicited advertising materials.
• Do not use the services to host or distribute malicious or destructive software.
• Do not claim endorsement by PageantVision or any of its associated companies or owners without prior written approval.
• Do not degrade others’ use of the service.
• Do not crawl, scrape or otherwise index information on the service.
• Do not use Content in any way that is not authorized by its Creator.
• Do not reverse engineer, modify, disable or otherwise tamper with the service or its security technology, or copy, sell, rent or sublicense the service to anyone else.
• User-uploaded content that contains nudity, suggestive imagery, sexual acts or violence is not allowed on the service. Content that does violate this guideline will be removed.
• As a user of the service, you may submit Content to the service, including but not limited to user comments. You understand that PageantVision does not guarantee any confidentiality with respect to any Content that you submit
• You shall be solely responsible for your own Content and the consequences of submitting and publishing your Content on the service. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish Content you submit; and you grant PageantVision the right to host the Content on the service pursuant to these terms of use, and to market and promote the availability of Content through PageantVision.
• For clarity, you retain all of your ownership rights in your Content. However, by submitting Content to the service, you hereby grant PageantVision.TV the worldwide, non-exclusive, royalty-free right to host the Content on the service. You also hereby grant each Pilot a non-exclusive license to access your Content through the service.
• PageantVision.TV does not endorse any Content submitted to the service by any user, and expressly disclaims any and all liability in connection with Content.

PageantVision, including all content provided on PageantVision.TV, whether or not such content is provided by PageantVision.TV or a third-party, is protected by copyright, trade secret or other intellectual property laws and treaties. You may not use, reproduce, distribute, perform, publicly display or prepare derivative works of our content unless we give you permission in writing. You agree to use the service in accordance with all applicable laws, rules and regulations, or other restrictions on use of the service or Content on the website. You shall not archive, download (caching excepted), reproduce, distribute, modify, display, perform, publish, license, create derivative works from or otherwise infringe on, offer for sale, or use (except as explicitly stated herein) the content and information contained on or obtained from or through the service without prior permission from PageantVision.TV or the Creator, as applicable.

Copyright Infringement Claims

It is the policy of PageantVision.TV to respond to claims of intellectual property infringement. PageantVision.TV will promptly process and investigate notices of alleged infringement and will take any actions, in its sole discretion, it deems appropriate. Disclaimers of Warranties, Limitations on Liability and Indemnification

PageantVision.TV is not responsible for the quality, timing or availability of Content. While we try to keep the service secure using commercially reasonable efforts, cannot guarantee complete protection against piracy of Content or unauthorized access to personal information, and you hereby explicitly releases PageantVision from any and all liability related to the copying and/or dissemination by any third party of the Content or use of your personal information.

PageantVision.TV cannot guarantee continuous, uninterrupted access to PageantVision.TV, and operation of PageantVision.TV may be interfered with by numerous factors outside PageantVision.TV’s control.

You acknowledge and agree that certain content available in the service may be considered offensive to some people and that such content may not be labeled as such. Additionally, certain descriptions of the service or Content available in the services are not guaranteed to be accurate. You agree to use the services at your own risk and, subject to applicable laws, we will have no liability to you for any content that you find offensive.

PageantVision.TV makes no representations or warranties about the quality of your watching experience on your display. We do not take responsibility or otherwise warrant the performance of any electronic devices, including the continuing compatibility with your device. By using our service, you agree to look solely to the entity that manufactured and/or sold you the device for any issues related to the device and its compatibility with PageantVision.TV.

Subject to applicable law, in no event shall PageantVision.TV, its parents, officers, directors, employees, agents, contractors, licensors, or their respective successors and assigns (collectively, the “PageantVision-related parties”), be liable for any damages of any kind, regardless of the cause and whether arising in contract (including fundamental breach), tort (including negligence) or otherwise. The foregoing limitation shall apply even if a PageantVision-related party knew of or ought to have known of the possibility of such damages.

In no event shall PageantVision-related parties’ aggregate and collective liability to you or any third party respecting any matter arising from, relating to or connected with the website, the service or these Terms of Use, whether arising in contract (including fundamental breach), tort (including negligence) or otherwise, exceed the total amounts that you have paid to PageantVision.TV, if any, even if a PageantVision-related party has been advised or ought to have known of the possibility of such damages.

In no event shall any PageantVision-related party be liable for any loss or damage arising from the failure of a PageantVision-related party or your failure to protect your username, password or account information.

PageantVision-related parties expressly disclaim any and all liability for the acts, omissions or conduct of any third-party user, service provider, advertiser or sponsor of the website or the service (collectively, “third party users”). Under no circumstances shall any PageantVision-related party be liable for any injury, loss, damage (including special, indirect, incidental, consequential, exemplary and punitive damages) or expense arising in any manner whatsoever from (i) the acts, omissions or conduct of any third-party user; and (ii) any use or inability to use any materials, software, content, goods or services located at or made available at any site or service linked to or from the website or the service. If you decide to access or use any linked site or content, materials, software, goods or services from a web site linked to the website, you do so entirely at your own risk.

You hereby release each PageantVision-related party from any damages that you incur, and agree not to assert any claims against them, arising from your, purchase, license or use of any third-party goods, services, software or content made available through the website or the service or linked to the website or service.

Note: the laws of certain jurisdictions may not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions or limitations may not apply to you, and you may have additional rights.

You agree to indemnify, defend and hold harmless PageantVision-related parties from and against any and all loss, liability (including settlements and judgments) or expense (including reasonable attorneys’ fees and expenses and court costs) arising out of: (a) any breach by you of any provision of these Terms of Use and/or any representation or warranty set out herein; and (b) any cost or expense incurred by us in the enforcement of this section. PageantVision will have the right, in its sole and unfettered discretion, to control the defense and settlement of any action or proceeding against any PageantVision-related party that you are bound to defend pursuant to the foregoing.

Dispute Resolution

We encourage you to contact us if you have an issue. If a dispute does arise out of these terms of use or related to your use of the service, and it cannot be resolved by way of a discussion between us, the matter of the dispute shall be resolved by way of binding arbitration in Missouri, USA in accordance with the Missouri Revised Statutes Title XXVIII CONTRACTS AND CONTRACTUAL RELATIONS. The costs of such arbitration shall be borne by the losing party.

Severability

If any provision of these terms of use is held to be unenforceable, such decision shall not affect the validity or enforceability of any other provision of this Agreement. Any provision of these terms of use held invalid or unenforceable shall, to the extent practicable, be substituted with a valid and enforceable provision that achieves the results contemplated by the parties in the original provision.
